Statutory Audit in Riyadh, Led by a Partner From Day One to Sign-Off
Statutory financial statement audits (مراجعة القوائم المالية) for LLCs, interim reviews, and agreed-upon procedures (إجراءات متفق عليها) — SOCPA-licensed, with the founding partner personally on every engagement.

The short answer
A statutory audit is an independent opinion, signed by a SOCPA-licensed auditor, on whether a company's annual financial statements are fairly presented. Under the Companies Law most Saudi companies must appoint an auditor; micro and small companies can be exempt under the Implementing Regulations unless their articles require one. A foreign company's branch files its statements with an auditor's report within 6 months of its year end.

Frequently Asked Questions
Is an audit mandatory for my company in Saudi Arabia?
Yes, for most companies. A micro or small company is exempt when it meets two of three tests: annual revenue up to SAR 10 million, total assets up to SAR 10 million, and no more than 49 employees. It then files a statement with its financial statements, and partners holding the legal percentage can still require an auditor. Banks, lenders and government tenders often ask for audited statements anyway. Tell us your figures and we will check whether you are in scope.
Does a foreign company's branch in Saudi Arabia need an audit?
Yes. A foreign company's branch prepares Saudi financial statements under the standards approved in the Kingdom and files them with an auditor's report within 6 months of its year end; the branch manager may appoint the auditor if authorised (Companies Law, Arts 238–239).
What is the difference between an audit, a review and agreed-upon procedures?
An audit gives an opinion on your full annual financial statements; a review gives limited assurance, usually on interim statements; agreed-upon procedures (إجراءات متفق عليها) test only the items you specify and give no opinion. Boards and lenders ask for reviews for mid-year comfort, while agreed-upon procedures suit a lender, buyer or investor asking about one item, such as sales, inventory or an escrow account.
Is there a fine for filing financial statements late on Qawaem?
Yes. Financial statements are due on Qawaem within six months of year end (30 June for a December year end). Under Ministerial Decision 236 (2026) the responsible manager is fined SAR 8,000 or 12,000 with one manager (SAR 4,000 or 6,000 with several), depending on capital; SAR 4,000 or 2,000 for small and micro companies; SAR 15,000–20,000 for unlisted joint-stock companies; plus 50% for a repeat in two consecutive years. Book your audit early.
What happens if an LLC's losses reach half of its capital?
The managers must call a partners' assembly within 60 days (Companies Law, Art 182).
How long does an audit take?
Usually 2–3 weeks from complete documentation for most SME and mid-market engagements.
Can we change auditors in the middle of the year?
Yes. We handle the engagement letter, the professional communication with your outgoing auditor and the notifications for a change of auditor, so your reporting timeline is not disrupted.
Can you audit unlisted joint-stock companies?
Not yet. SOCPA's rules require 5 years from licence issuance before a firm can audit unlisted joint-stock companies; ours (licence 933) reaches that in 2028. We audit LLCs and provide agreed-upon procedures in the meantime.
How do I check an audit firm's SOCPA licence?
Search the licensees list on SOCPA's website, socpa.org.sa. Our licence number is 933.
Will the same partner lead our audit every year?
Yes. The engagement partner, Noura Alderaan, stays on your file from the scoping call to sign-off, year after year, rather than handing it to a junior team after the first year.
Do you issue audit reports in English as well as Arabic?
Yes. Bilingual audit opinions, management letters and board packs are standard for us, built for foreign-owned entities that report to an overseas parent company.
Will our bank accept your independent auditor's report?
Every engagement ends with a signed independent auditor's report under the auditing standards endorsed by SOCPA, which you can give to your bank, lenders or regulators; each bank applies its own acceptance criteria.
